Terms, privacy & waiver

Welcome to Samadki. This document (the “Agreement”) is a binding legal agreement between you (“you,” “participant,” or “member”) and Samadki LLC, a New York limited liability company (“Samadki,” “we,” “us,” or “our”). It governs your access to and use of Samadki’s coaching sessions, workshops, retreats, membership community, website, and related content and services (collectively, the “Services”).

This Agreement combines several documents into one for your convenience: our Terms of Service, Privacy Policy, Participation Agreement, Medical Disclaimer, Liability Waiver, Recording Consent, Confidentiality Policy, Testimonial & Media Consent, Payment and Refund Policy, Community Standards, and related legal terms.

By checking the box at checkout, registration, or enrollment (“I have read and agree to the Terms of Service, Privacy Policy, and Participation Agreement”), or by otherwise registering for, purchasing, or participating in any Samadki offering, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety. If you do not agree, please do not register for or participate in any Samadki Services.

This Agreement applies to all Samadki offerings, including one-on-one coaching, group coaching containers, in-person and virtual workshops, retreats, breathwork sessions, movement and somatic sessions, sound healing sessions, and the Samadki membership community (currently hosted on Skool).

Samadki is a somatic coaching practice founded by Valeria Itriago that integrates practices which may include, depending on the offering:

Not every offering includes every practice listed above, and the specific format, structure, and content of a given program, session, retreat, or membership will be described at the time of enrollment. Samadki reserves the right to modify the format or content of its offerings at its discretion.

• Somatic coaching and embodiment work
• Breathwork
• Movement and physical exercises
• Sound healing
• EFT tapping
• Meditation and guided visualization
• Journaling and reflective exercises
• One-on-one and group coaching, delivered in person or virtually (e.g., via Zoom)
• In-person retreats and workshops

Samadki is not a substitute for medical or mental health care. Coaching, breathwork, movement, sound healing, and related practices offered by Samadki are wellness and personal development services. They are not, and should not be understood as:

If you are experiencing a medical or mental health emergency, including suicidal thoughts or a crisis of any kind, please contact 911 (in the U.S.), go to your nearest emergency room, or contact the 988 Suicide & Crisis Lifeline (call or text 988). Samadki and its coaches are not equipped to provide emergency or crisis response.

Valeria Itriago and any other Samadki facilitators are coaches and wellness practitioners. Unless separately and explicitly stated in writing, they are not licensed physicians, psychologists, psychiatrists, social workers, or other licensed medical or mental health professionals acting in that capacity within this relationship.

You are strongly encouraged to consult with your physician or another qualified medical professional before beginning any coaching program, breathwork practice, movement practice, or other Samadki offering, particularly if you have any pre-existing physical, cardiovascular, respiratory, neurological, psychiatric, or other health condition, or if you are pregnant.

• Psychotherapy, counseling, or any form of licensed mental health treatment
• Medical treatment, diagnosis, or care of any kind
• Physical therapy or rehabilitative treatment
• A substitute for prescribed medication, medical advice, or professional evaluation
• Crisis intervention or emergency mental health care

Samadki does not exclude participants from any category of offering on the basis of pregnancy or specific health conditions. Instead, you are responsible for:

Facilitators will provide guidance and, where relevant, invite modifications, but you remain solely responsible for your own participation and for stopping or adjusting any activity that does not feel right for your body or mental state.

• Consulting your physician or other qualified healthcare provider before participating, particularly regarding breathwork, movement, or physically active practices, and particularly if you are pregnant or have any cardiovascular, respiratory, neurological, seizure-related, psychiatric, or other condition that could be affected by physical exertion, altered breathing patterns, or emotional processing.
• Disclosing to Samadki, before or at the start of a session, any relevant health conditions, physical limitations, pregnancy, injuries, or concerns that a facilitator should reasonably be aware of in order to safely guide you.
• Listening to your own body during any session, modifying or stopping any movement, breath, or exercise at any time, and communicating with your facilitator if something does not feel safe or appropriate for you.
• Making your own informed decision, together with your physician where appropriate, about whether and how to participate in any given practice.

You understand that Samadki’s offerings may involve physical movement, breathwork, and other bodily practices that carry inherent risks, including but not limited to muscle soreness, strains, dizziness, lightheadedness, changes in blood pressure, tingling or numbness, emotional release, fainting, and, in rare cases, more serious physical injury.

You voluntarily and knowingly assume all such risks. You acknowledge that these risks exist even when instructions are followed correctly, and that Samadki cannot guarantee your safety from every possible risk associated with physical or breath-based practices.

Somatic coaching, breathwork, and related practices can surface strong emotions, memories, or psychological material, sometimes unexpectedly. You understand and accept that:

• Emotional discomfort, vulnerability, grief, anxiety, or other difficult feelings may arise during or after a session
• These practices are not a substitute for therapy and are not designed to treat trauma, mental illness, or psychiatric conditions
• You are responsible for seeking appropriate professional mental health support if you need care beyond what coaching can offer
• You voluntarily and knowingly assume the emotional and psychological risks inherent in this work.

In consideration of being permitted to participate in Samadki’s Services, you, on behalf of yourself and your heirs, executors, administrators, and assigns, hereby release, waive, discharge, and covenant not to sue Samadki LLC, Valeria Itriago, and their respective owners, employees, contractors, and agents (collectively, the “Released Parties”) from any and all liability, claims, demands, actions, or causes of action arising out of or related to any loss, damage, illness, or injury, including death, that may be sustained by you, or to any property belonging to you, while participating in Samadki Services, whether caused by the negligence of the Released Parties or otherwise, to the fullest extent permitted by law.

This release does not waive any claim for gross negligence, recklessness, or intentional misconduct, to the extent such a waiver is prohibited by New York law.

You agree to indemnify and hold harmless the Released Parties from any loss, liability, damage, or cost, including attorneys’ fees, that may arise out of your participation in Samadki Services or your violation of this Agreement.

Samadki sessions, including individual coaching calls, group coaching containers, and membership community calls, may be recorded (audio and/or video) for the following purposes:

By participating in a Samadki session, you consent to being recorded as described in this section. Recordings of a given call or coaching container are shared only with:

Recordings are not otherwise made public and are not used for external marketing purposes without separate, explicit permission as described in Section 10 (Testimonials, Photos & Media Consent). Recordings are retained indefinitely (in perpetuity) as part of Samadki’s records, subject to the confidentiality protections described in Section 9.

• Coaching quality and continuity
• Facilitator training and development
• Participant review of their own sessions
• Legal documentation
• The Samadki core team
• Other participants of that same call, cohort, or coaching container
• Fellow members of the Samadki membership community who missed the live call and would like to view the recording

Samadki respects the sensitive and personal nature of the work we do together. We keep participant information, session content, and recordings confidential, and we ask all participants in group settings to do the same for one another. Samadki will not disclose your personal or session information to outside third parties except:

Because group coaching containers, workshops, and the membership community involve other participants, we ask all members to treat what is shared by others as confidential and not to record, screenshot, or share other participants’ stories, images, or personal information outside of the group without that person’s permission. Samadki cannot guarantee the conduct of other participants but will address violations of this expectation under our Community Standards (Section 16).

• As required by law, subpoena, or court order
• Where there is an imminent concern for your safety or the safety of others
• With your consent

We will never publicly share your testimonial, story, photo, or video without your explicit permission. If we would like to feature your experience in our marketing or on our website, we will ask you directly, and you may choose one of the following:

You may revoke permission for future use of your testimonial, photo, or video at any time by contacting hello@journey.valitriago.com. Revoking permission will not affect materials already published or distributed with your prior consent before the date we receive your revocation.

Session recordings described in Section 8 are shared only within the applicable coaching container, cohort, or membership community as described there, and are never used for public marketing purposes without the separate consent described in this section.

• No — decline entirely, with no impact whatsoever on your participation in Samadki
• Yes, anonymously — your story may be shared with your name, photo, and identifying details removed or changed
• Yes, with my name and/or photo/video — you approve use of your name and likeness

Fees for Samadki programs, sessions, retreats, and membership are described at the time of enrollment or purchase. Payments are processed through Stripe. Where a payment plan is offered and selected, you agree to pay all remaining installments according to the agreed schedule, regardless of whether you complete or continue participating in the program, except as otherwise provided in Section 13 (Refund Policy).

Samadki reserves the right to change its pricing for future enrollments at any time; changes will not affect a program or membership you have already purchased or enrolled in.

The Samadki membership community provides access to group content, community discussion, and recordings of past calls, as described at the time of enrollment. Membership is billed on a recurring basis through the platform used to host the community (currently Skool) and may be canceled at any time through that platform, effective at the end of the current billing period.

Samadki may update, add to, or remove content and features within the membership community from time to time, and may modify membership offerings for future billing periods.

If you need to reschedule a scheduled individual or group session, we ask for a minimum of 24 hours’ notice. Sessions rescheduled or canceled with less than 24 hours’ notice will be considered a missed session, and no makeup session will automatically be provided.

We understand that emergencies happen. Samadki will use reasonable discretion to accommodate genuine, sudden emergencies on a case-by-case basis, but is under no obligation to offer a makeup session outside of this policy.

Samadki is committed to maintaining a safe, respectful space for all participants. Samadki may, at its discretion, remove any participant from a session, program, retreat, or the membership community, without refund of amounts already paid, if that participant:

• Harasses, threatens, or is abusive toward another participant or a Samadki facilitator or team member
• Disrupts sessions in a way that interferes with the experience of others
• Violates the confidentiality expectations described in Section 9
• Threatens the safety of a coach, facilitator, or other participant

All content provided by Samadki — including coaching materials, worksheets, session recordings, curricula, branding, and the Samadki name — is the property of Samadki LLC and is protected by copyright and other intellectual property laws. By participating in Samadki Services, you agree that you will not, without Samadki’s prior written permission:

• Record any session yourself (in addition to Samadki’s own recordings described in Section 8)
• Redistribute, resell, or publicly share Samadki materials, worksheets, or recordings
• Upload Samadki content to any other platform or service
• Use Samadki content to train any artificial intelligence or machine learning model
• Use the Samadki name, brand, or likeness of Valeria Itriago for any commercial or promotional purpose

Samadki does not guarantee any specific emotional, physical, relational, financial, or personal outcome from participation in its Services. Individual results and experiences vary, and your outcomes depend on many factors, including your own engagement, circumstances, and effort. Testimonials and examples shared by Samadki reflect individual experiences and are not a guarantee of your own results.

Samadki will not be liable for any failure or delay in performing its obligations where such failure or delay results from causes beyond its reasonable control, including but not limited to acts of God, natural disaster, illness, epidemic or pandemic, government action, internet or technology outages, or other events beyond Samadki’s reasonable control.

This Agreement is governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to this Agreement or your participation in Samadki Services shall be resolved by binding arbitration administered in the State of New York, rather than in court, except that either party may bring an individual action in small claims court for disputes within that court’s jurisdiction.

Class Action Waiver: You agree that any arbitration or proceeding will be conducted only on an individual basis and not as part of a class, consolidated, or representative action.

You agree that checking the box at registration or checkout (“I have read and agree to the Terms of Service, Privacy Policy, and Participation Agreement”) constitutes your electronic signature and acceptance of this Agreement, and has the same legal effect as a handwritten signature. No separate signature page is required. SMS consent is separate from acceptance of these Terms and is not required to purchase or participate in Samadki Services.

This Agreement constitutes the entire agreement between you and Samadki regarding your participation in the Services and supersedes any prior agreements or understandings, whether written or oral, on this subject.

Samadki may update this Agreement from time to time, including to reflect changes in our Services, legal requirements, or business practices. The current version will always be available at journey.journey.valitriago.com, and continued participation in Samadki Services after an update constitutes acceptance of the revised Agreement. Material changes will be communicated to active participants and members where practicable.

If any provision of this Agreement is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement will remain in full force and effect.
